Welcome to ProScalify! These Terms of Service (“Terms”) govern your use of our website (https://proscalify.com/), services, and resources (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.

1. Overview of Services

ProScalify provides immigration-focused business planning, strategic business development, marketing, HR, CRM, and related services to entrepreneurs, startups, and SMEs pursuing economic immigration and international expansion. Our Services include, but are not limited to, business plan writing, financial forecasting, comprehensive SUV immigration packages, marketing solutions, website development, and HR/CRM support.

2. Eligibility

To use our Services, you must:

• Be at least 19 years of age or the age of majority in your jurisdiction.

• Have the legal capacity to enter into a binding agreement.

• Not be prohibited from using our Services under applicable laws.

3. User Responsibilities

When using our Services, you agree to:

• Provide accurate, complete, and up-to-date information during consultations, form submissions, and throughout the service process.

• Use our Services in compliance with all applicable laws and regulations.

• Not use our Services for any unlawful, fraudulent, or harmful purpose.

• Not reproduce, duplicate, copy, sell, or exploit any part of our Services without prior written consent from ProScalify.

4. Service Terms

4.1. Scope of Services: ProScalify will provide the Services as outlined in your agreed-upon proposal or package. The scope, timeline, and deliverables will be detailed in your service agreement.
4.2. Revisions: Business plans, pitch decks, and other deliverables include up to three (3) revisions unless otherwise specified. Additional revisions may incur extra fees.
4.3. Client Cooperation: You agree to provide all necessary information, documentation, and feedback in a timely manner to ensure the successful delivery of Services. Delays in providing information may affect timelines.
4.4. No Guarantee of Immigration Approval: While we strive to create immigration-compliant business plans and documentation, ProScalify does not guarantee approval of your immigration application, as decisions are made by immigration authorities.

5. Payment Terms

5.1. Pricing: Pricing for Services is outlined on our website or in your custom proposal. All prices are in Canadian Dollars (CAD) unless otherwise stated.
5.2. Payment: Payment is due as per the agreed-upon schedule in your service agreement. We accept payments via [list accepted payment methods, e.g., credit card, bank transfer].
5.3. Late Payments: Late payments may incur a 1.5% monthly interest fee on the outstanding balance.
5.4. Refunds: Refunds are subject to our Refund Policy (see Section 6).

6. Refund and Cancellation Policy

6.1. Cancellations: You may cancel your Service request within 48 hours of signing the service agreement for a full refund, minus any administrative fees (C$150). After 48 hours, cancellations are subject to a 50% cancellation fee if work has commenced. No refunds are available once the first draft is delivered.
6.2. Refunds: If you are dissatisfied with our Services, you may request a refund within 7 days of receiving the final deliverable. Refunds are evaluated on a case-by-case basis and may be partial, depending on the work completed. No refunds are available for delays caused by the client or third-party immigration decisions.
6.3. Non-Refundable Services: Custom consultations, webinars, and downloadable templates are non-refundable.

7. Intellectual Property

7.1. Ownership: All content, templates, and materials created by ProScalify (e.g., business plans, financial forecasts, pitch decks) remain the intellectual property of ProScalify until full payment is received. Upon full payment, you are granted a non-exclusive, non-transferable license to use the deliverables for your intended purpose (e.g., immigration application, business operations).
7.2. Client Content: You retain ownership of any content or information you provide to us. By providing such content, you grant ProScalify a non-exclusive, worldwide license to use, modify, and reproduce it solely for the purpose of delivering the Services.

8. Confidentiality

ProScalify will treat all client information as confidential and will not disclose it to third parties without your consent, except as required by law or to fulfill the Services (e.g., sharing with IRCC-designated organizations for SUV applications). You agree to keep confidential any proprietary information shared by ProScalify during the service process.

9. Limitation of Liability

To the fullest extent permitted by law, ProScalify shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Services, including but not limited to loss of profits, business opportunities, or immigration approval. Our total liability shall not exceed the amount paid by you for the Services.

10. Indemnification

You agree to indemnify and hold ProScalify, its affiliates, and its employees harmless from any claims, damages, or losses arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

ProScalify reserves the right to terminate or suspend your access to our Services at our discretion, with or without notice, if you violate these Terms or engage in conduct that we deem harmful to our business or other users. Upon termination, any outstanding payments remain due, and you must cease using any deliverables for which payment has not been made.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Vancouver, British Columbia.

13. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with the “Last Updated” date. Your continued use of our Services after such changes constitutes your acceptance of the updated Terms.
